CONSTITUTION
OF
NATIONAL TAIWAN UNIVERSITY ALUMNI ASSOCIATION
IN THE GREATER HOUSTON AREA
1.1 The name of this organization shall be NATIONAL TAIWAN UNIVERSITY ALUMNI ASSOCIATION IN THE GREATER HOUSTON AREA.
1.2 The objectives of the Association shall include networking among the alumni for social, educational and professional enhancements, providing a platform for community services, and serving as a link between the alumni and their Alma Mater.
1.3 The Association shall be a non-profit, non-political organization.
2.1 All alumni and the surviving spouse of an alumnus of the National Taiwan University residing in the Greater Houston Area shall be eligible for membership in the Association.
2.2 A member who has paid annual membership fee in full shall be eligible to vote and to be elected as an Officer and/or Director of the Board of the Association.
2.3 The spouse of a member, if non-alumnus, may be listed as an associate member whose name shall appear on the roster, but he or she shall have neither the right to vote nor the right to be elected as an Officer or Director of the Board of the Association.
3.1 A minimum of ten (10) voting members or three (3) Directors of the Board may submit an amendment or amendments to this Constitution in writing to the President or any member of the Board of Directors at least twenty (20) working days before the annual meeting. The amendments shall become part of this Constitution when approved by two-thirds (2/3) of the voting members present at the annual meeting.
4.1 The Board of Directors shall formulate the policies of the Association and direct the affairs of the Association.
4.2 The number of the Directors of the Association shall be nine (9). All Directors shall be elected annually by a majority vote of the voting members present at the annual meeting. Each Director shall hold office until the next annual meeting or until his or her earlier resignation or removal. Any vacancy occurring in the Board of Directors for any cause may be filled by a majority vote of the remaining Directors. Each Director so elected shall hold office until the expiration of the term of the Director whom he or she has replaced. All Directors shall be limited to serve no more than five (5) consecutive one (1) year terms.
4.3 A majority of the whole Board of Directors shall constitute a quorum for the transaction of the affairs of the Association. At all meetings of the Board of Directors, a quorum being present, all matters shall be decided by a majority vote of the Directors present at the meetings.
4.4 The Board of Directors shall include the following standing committees:
4.4.1 Executive Committee – responsible for conducting general business of the board. The Committee shall consist of four (4) Directors who shall also be elected as the Officers of the Association in accordance with Article V of this Constitution. The President shall serve as the Chair of the Committee.
4.4.2 Nomination Committee – responsible for the nomination of candidates for Officers and Directors of the Association. The Committee shall consist of the President and three immediate past Presidents of the Association. If any of the immediate past Presidents is not able to serve, the vacancy shall be filled via appointment by the President. The President shall serve as the Chair of the Committee and shall call a meeting at least two (2) months before the annual meeting of the Association to discuss potential candidates.
4.4.3 Communication Committee – responsible for maintaining and updating the member list and contact information, the Association’s website, electronic mail box, and other tasks designated by the Board of Directors. The Committee shall consist of a minimum of three Directors appointed by the President.
4.4.4 Program Committee – responsible for planning and organizing activities throughout the year, and other tasks designated by the Board of Directors. The Committee shall consist of a minimum of three Directors appointed by the President.
The Board of Directors may designate additional committees from time to time to conduct the affairs of the Association.
5.1 The Officers of the Association shall consist of a President, a Vice-President, a Treasurer, and a Secretary. The Officers of the Association shall be elected annually by a majority vote of the voting members present at the annual meeting and they shall also be elected as Directors. Each Officer shall hold office until the next annual meeting or until his or her earlier resignation or removal. In the event of a vacancy in the office of the President, the Board of Directors may call a special meeting to elect a successor President. The President shall be limited to serve no more than three (3) consecutive one (1) year terms.
5.2 The President shall be the Chief Executive Officer of the Association and shall preside over all meetings. The President shall call at least one annual meeting of the Association every year, which shall take place in January of each year. During the annual meeting, the President shall make a report to the members on the state of the Association.
5.3 The Vice-President shall assist the President and shall perform all the duties of the President in the President’s absence.
5.4 The Treasurer shall be responsible for the finance of the Association and shall maintain a record of the members. During the annual meeting, the Treasurer shall make a report to the members on the state of the treasury of the Association. The Treasurer shall perform all the duties of the President in the absence of the President and the Vice-President.
5.5 The Secretary shall keep a complete and accurate minutes of all the meetings of the Association.
6.1 The amount of the annual membership fee shall be decided by the Board of Directors.
6.2 The Directors and Officers of the Association shall serve without any compensation.
